In short
- A license covers one event, not a period of time. There is no subscription.
- You may move a license to a different event while that event has taken no pledges.
- From the first pledge onward, the license stays with that event for good.
- A license is used up when the event reaches its tier's pledge limit. A used-up license is never returned to your pool.
- If an event outgrows its tier, attach a larger license. The pledges already recorded are kept.
1. What a license is
These License Terms govern the purchase and use of an event license ("License") for the Nedarim hosted service at nedarim.com, operated by Turn Byte LLC ("Nedarim", "we", "us"). They form part of, and are read together with, our Terms of Service. Where the two differ on licensing, these License Terms apply.
Nedarim is sold per event. A License is an entitlement for one fundraising event ("Event") to collect up to a number of approved pledges, set by the tier you buy. It is not a subscription, it does not renew, and it is not billed by time: a License you have bought does not expire while it remains unused.
An approved pledge is one that has been accepted by your team and counts toward the Event's total. Pledges you reject, and pledges still waiting for review, do not count against the limit.
2. The trial license
Every Organization receives one free trial License when it is created. It is good for a single Event and up to 10 approved pledges.
When the 10th pledge is approved the trial is used up. That Event then stops accepting pledges, and its name, link, goal, currency and date can no longer be changed, so that an Event cannot be quietly repurposed after the fact. Attaching a paid License to the same Event lifts the limit and keeps every pledge already recorded. The trial License is provided as is and is not refundable, exchangeable or transferable.
3. Attaching a license to an event
A License is attached to exactly one Event. An Event may only have one License in force at a time.
- Before the Event has taken any pledge, you may detach the License and attach a different one, and the License you detached returns to your pool unused. This exists so that attaching the wrong License is a correctable mistake.
- From the first recorded pledge onward, the License is settled on that Event. It cannot be detached, moved to another Event, returned to your pool, exchanged, or applied to anything else, whether or not its pledge limit has been reached. This is enforced by the software, not only by these Terms.
We apply this rule to pledges recorded against the Event, however they arrive — entered by your team, submitted by donors through a donate link, or imported.
4. When a license is used up
A License is used up at the moment the Event's approved pledges reach the limit of its tier. A used-up License stays with the Event it was used on. It is never credited back, re-issued, or returned to your pool, and no part of its price is carried over to another Event.
If an Event grows past its tier, attach a larger License to that same Event. The pledges already recorded are kept and the Event continues from where it was. You pay the price of the larger License; we do not deduct the price of the one already used.
Once a License is used up, its Event stops accepting pledges and its name, link, goal, currency and date are frozen, so that a spent Event cannot quietly become a new one. Deleting an Event does not return its License: a License that recorded even one pledge is spent and goes with the Event.
5. Who a license belongs to
A License belongs to the Organization that bought it, not to the person who paid and not to an individual team member. It may be used for any Event of that Organization, subject to section 3.
A License cannot be sold, lent, assigned, sub-licensed or otherwise transferred to another Organization, and cannot be moved between Organizations by us on request. If your Organization changes its legal identity, contact us before buying.
6. Buying, prices and payment
Tiers, their pledge limits and their prices are shown when you buy and on the pricing page. Prices exclude any taxes we are required to add, which are shown before you confirm.
Licenses may be bought by card or by invoice, depending on the tier's currency. A License bought by card is issued once the payment provider confirms the payment. A License bought by invoice is issued when we record the invoice as paid, and until then no License exists and no Event is covered.
We may change prices at any time for future purchases. A License you already hold is not affected.
7. Refunds and reversals
A License may be refunded on request within 14 days of purchase, provided it has not been attached to an Event, or has been attached to an Event that has not yet recorded a single pledge.
Once an Event has recorded a pledge under a License, that License is non-refundable, because it is at that moment settled on the Event under section 3. A License that has been used up is non-refundable.
If a payment is reversed — a refund, a chargeback, or a dispute decided against us — the License it bought is withdrawn. If that License was attached to an Event, the Event stops being covered and cannot take further pledges until another License is attached. Pledges already recorded are not deleted.
8. Using licenses as intended
A License covers one Event. Splitting what is in substance a single fundraising event across several Events in order to stay under a tier's pledge limit, or recording pledges outside Nedarim to avoid reaching it, is a breach of these Terms. Where we find this, we may require the correct License to be bought, and we may suspend the Events concerned.
Nothing in this section prevents you from running genuinely separate events, each on its own License, however close together they fall.
9. Changes to these terms
We may change these License Terms for future purchases. The terms that apply to a License are the ones published when you bought it, and those continue to apply to it. We will give reasonable notice of material changes.
