Terms of Service

These Terms are a contract between Turn Byte LLC ("Nedarim", "we", "us") and the organization on whose behalf you use the hosted service at nedarim.com ("you", the "Organization"). By creating an account, accepting an invitation to a team, or using the service, you confirm that you are authorized to bind your Organization and that it agrees to these Terms and to our Privacy Policy.

In these Terms an "Event" is a fundraising event you set up in Nedarim; a "Donor" is anyone who pledges to an Event; a "License" is the per-event entitlement described in section 4.

These Terms cover the hosted service we run. If you run the Nedarim software on your own infrastructure, sections 5, 6 and 7 do not apply, you are solely responsible for hosting, security and backups, and the software's own license governs your use of the code.

Nedarim is software for running live fundraising events: a public donate page, a live display of approved pledges and progress toward a goal, a pledge queue for staff to record and review pledges, donor management, sponsor display, and team access with roles. We may add, change or retire features; we will give reasonable notice before removing anything you rely on.

• You must be at least 16 and authorized to act for your Organization. Each person uses their own account; accounts are not shared.
• An account must verify its email address before it can sign in. You are responsible for keeping your sign-in details and devices secure and for everything done under your account.
• An Organization has admins, who control settings, billing, licenses and the team, and staff, who can record pledges and manage donors. Admins are responsible for who they invite and for removing people who should no longer have access. Invitations expire after 14 days.
• An Organization must always have at least one admin. The last admin cannot leave or delete their account until another admin is appointed, unless they are the only member, in which case deleting the account deletes the Organization (section 10).

Nedarim is sold per Event. A License is attached to one Event and permits that Event to collect up to the number of approved pledges in its tier. Current tiers and prices are shown at checkout and on the pricing page; prices are in US dollars unless stated otherwise and exclude any taxes we are required to add.

• Trial license. Every Organization receives one free trial license, good for one Event and up to 10 approved pledges. When the 10th pledge is approved the trial is used: the Event stops accepting pledges, and its name, link, goal, currency and date can no longer be changed. Attaching a paid License to that Event lifts the limit. The trial license is provided as is.
• Paid licenses are bought per Event. An unused License stays in your Organization's pool and may be attached to any of your Events, or moved to a different Event while that Event has not yet recorded a pledge. From the first pledge recorded, the License stays with that Event and cannot be moved, returned to the pool or exchanged, as set out in the License Terms. Licenses belong to the Organization that bought them and cannot be transferred to another Organization.
• A License that has been used to the limit of its tier is spent. If an Event grows past its tier, attach a larger License; the pledges already recorded are kept.
• Refunds. A License that has not been attached to an Event, or whose Event has not yet received any pledges, may be refunded on request within 14 days of purchase. Once an Event has recorded pledges under a License, that License is non-refundable.

Payments are taken by Stripe. Your card details go to Stripe directly and are never stored by us. A License is issued automatically once Stripe confirms the payment; if payment fails or is reversed, the License is withdrawn. You are responsible for any taxes on your purchase that we are not required to collect. We may change prices for future purchases at any time; a License you already hold is not affected.

• The service and your data are hosted in data centres in the European Union. See the Privacy Policy for where data goes beyond that.
• We take backups at least daily and keep them for 30 days. Backups are for restoring the service after a failure; they are not an archive you can retrieve individual records from.
• We aim for the service to be available around the clock but do not guarantee it. Planned maintenance is announced in advance where possible and scheduled outside the busiest hours. The live screen keeps working through short network interruptions and catches up when the connection returns.
• You can export your pledges and donors from the app at any time and should do so after each Event.

Between you and us, you own the content you put into Nedarim: Event details, donor records, pledges, sponsor material and uploaded images. You grant us the right to host, display and process it only as needed to provide the service.

For Donor and pledge data, you are the controller and we are your processor under the GDPR. Our Privacy Policy describes the processing; a data processing agreement is part of these Terms and is available in signed form on request. You are responsible for:

• having a lawful basis to collect and display Donor information, and telling Donors how you use it;
• what appears on your public live screen and donate page, including whether a Donor's name is shown. Nedarim shows only the display name and amount of pledges you approve, and lets Donors pledge anonymously;
• answering Donors' requests to access, correct or delete their records. We will help you do so, and we forward any request a Donor sends us;
• the accuracy of anything you import from a spreadsheet.

We do not use your content for anything other than providing the service to you, and we do not train models on it or sell it.

You agree not to:

• use the service for anything unlawful, deceptive or fraudulent;
• collect or display personal data without the right to do so, or upload content you do not have the rights to;
• interfere with the service or other Organizations' data, probe or circumvent its security, or send automated traffic beyond what the app itself generates;
• resell access to the service without our written agreement.

The Nedarim service, its software, design and name are ours or our licensors'. These Terms give you the right to use the hosted service, not ownership of it. Feedback you give us may be used without obligation to you.

• You can delete your own account at any time from the Account page. Your sign-in, sessions and team memberships are removed immediately.
• If you are the only member of an Organization, deleting your account deletes the Organization with all of its Events, pledges, Donors, Licenses and images. This is permanent; export what you need first. If other members remain, the Organization and its data stay with them.
• An admin can delete an Organization's Events individually from the app. Deleting the whole Organization while it still has members can be requested by email from any of its admins.
• We may suspend or close an account or Organization that breaks these Terms, and will tell you why unless the law prevents it. We may also end the service with at least 90 days' notice, refunding unused Licenses.
• Purchase records are kept after deletion for as long as accounting law requires, as described in the Privacy Policy.

The service is provided as is and as available. To the extent the law allows, we make no warranty that it will be uninterrupted, error-free, or fit for a particular purpose, and we are not responsible for pledges that are not honoured by Donors.

To the extent the law allows, we are not liable for indirect, incidental, special or consequential loss, lost donations, lost data you could have exported, or loss of goodwill, and our total liability under these Terms in any 12-month period is limited to the amount you paid us in that period. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or anything that cannot be limited by law.

You will cover losses we suffer from claims by third parties, including Donors and supervisory authorities, that arise from your breach of section 7 or 8.

We may update these Terms. For changes that reduce your rights or add obligations, we email account holders at least 14 days before they take effect; you may end the agreement before then if you do not accept them. Continued use after the effective date is acceptance. The date at the top shows the current version.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. If you are in the European Union or United Kingdom, nothing in these Terms takes away protections you have under the mandatory law of the country where you are established, and data protection is governed by the GDPR as set out in section 7.
